Part A - Role Specification

  1. Manage the build out and development of the Fund's legal presence in the London office both in terms of team management and the Fund's broader market presence. Specifically, work with key stakeholders, including investment managers, peer funds, panel law firms and industry bodies, to raise the profile of the Fund's presence in London and share learnings where relevant with the Melbourne office
  2. Oversee the development of team members based in London to build their legal skills and broader management and leadership skills
  3. Liaise with the Melbourne office to understand plans and activities that will impact both the broader portfolio and the work undertaken within the London office
  4. Build and develop professional working relationships with members of the asset class teams located locally and in other offices
  5. Manage the team responsible for legal and related due diligence required in respect of assets in which the Fund is planning to invest, with a particular focus on the Fund's direct investments in infrastructure, debt, property and private equity
  6. Lead the identification, escalation and mitigation of legal risks associated with the Fund's investment activities as part of the legal work stream
  7. Own the relationship with external due diligence providers to ensure all material risks are addressed to the Fund's satisfaction
  8. Manage and provide significant advice on legal documentation and commercial terms relating to both the Fund's direct investment activity, (infrastructure, property, debt and private equity) and broader investment department activity including external manager appointments and bespoke over-the-counter derivatives
  9. Take ownership for the development and implementation of appropriate control processes, precedents and checklists for the ongoing review of investments in listed and unlisted assets
  10. Ensure initial and ongoing documentation in relation to the investments of the Fund is accurate, comprehensive, correctly completed and appropriately stored
  11. Ensure the Fund is structured and operating in an optimal manner to ensure scale and opportunities are exploited
  12. Identifying and developing systems, controls and processes required for a rapidly growing fund
  13. Keeping pace with the issues surrounding the investment of funds into a broad range of asset classes and communicate these to senior stakeholders as required

This role will have matrix reporting obligations and responsibilities



Delegations, Authority Levels, and Decision Making (including decisions made by incumbent as well as referrals to higher authority)

  • Briefing of external advisors for undertaking legal due diligence
  • Recommending fees to be paid to external parties
  • Approving fee invoices for legal work



PART B - Person Specification

Qualifications (indicate whether mandatory or desired)

  • Tertiary qualifications in Law

Desired Experience Profile:

  • 10+ years of experience working within private practice at a large law firm or an in-house legal function within an institutional investing organisation, with an understanding of corporate / M&A / debt or other transactional law
  • Extensive experience working on large-scale corporate/commercial transactions
  • Demonstrates sound commercial judgement and a results orientation
  • Self-starter comfortable working in a team where direct involvement in tasks is required
  • Extensive experience managing projects with a number of parties and service providers
  • Well-developed understanding of negotiation strategies
  • Extensive experience with drafting contracts, preparing reports, analysing information and drawing conclusions
  • Excellent communication and stakeholder management skills (both written and verbal), with the ability to present ideas, perspectives and issues to senior management
  • Detailed understanding of due diligence principles in relation to investments
